- "Services" refers to legal advisory services provided by thamrena, including family and succession planning, business licensing and regulatory advisory, and comprehensive legal partnership.
- "Agreement" means these Terms & Conditions together with any engagement letter or service agreement entered into between you and thamrena.
- "Website" refers to all pages and content available at our domain.
- "Content" means all information, documents, and materials provided through our services or website.
3. Scope of Legal Services
3.1 Services Provided
thamrena provides non-contentious legal advisory services in Thailand. Our services focus on family succession planning, business regulatory compliance, contract matters, and general legal consultation. We do not handle litigation, criminal defense, or medical malpractice matters.
3.2 Engagement Process
An attorney-client relationship is formed only when both parties have signed a written engagement letter or service agreement. Initial consultations do not create an attorney-client relationship unless expressly agreed in writing.
3.3 Service Limitations
Our legal advice is provided based on the information you supply and the scope defined in our engagement agreement. We are not responsible for advice given based on incomplete, inaccurate, or withheld information. Our services are limited to Thai law unless otherwise specifically agreed.
4. Client Responsibilities
4.1 Information Accuracy
You agree to provide complete, accurate, and timely information relevant to your legal matter. You are responsible for informing us promptly of any changes in circumstances that may affect our services or advice.
4.2 Document Provision
You agree to provide all requested documents and information necessary for us to provide services. Delays in providing information may affect service timelines and outcomes.
4.3 Compliance with Advice
While we provide legal advice, the decision to act on that advice rests with you. You are responsible for decisions made regarding your legal matters.
4.4 Prohibited Uses
You agree not to:
- Use our services for any unlawful purpose or activity
- Provide false or misleading information
- Attempt to gain unauthorized access to our systems or client data
- Reproduce, distribute, or create derivative works from our proprietary materials without permission
5. Fees and Payment
5.1 Fee Structure
Our fees are set forth in the engagement letter or service agreement. Fees may be structured as fixed project fees, hourly rates, or annual retainers depending on the nature of services. All fees are stated in Thai Baht (฿).
5.2 Payment Terms
Payment is due within 14 days of invoice date unless otherwise specified in your engagement agreement. Late payments may incur interest charges at the rate permitted under Thai law.
5.3 Additional Costs
You are responsible for reimbursing reasonable out-of-pocket expenses incurred on your behalf, including government filing fees, courier charges, and translation costs. Such expenses will be itemized on invoices.
5.4 Refund Policy
Fees paid for services already rendered are non-refundable. If you terminate services before completion, you will be charged for work completed to date plus any non-refundable costs incurred.
6. Confidentiality and Attorney-Client Privilege
6.1 Professional Privilege
All communications between you and thamrena are protected by attorney-client privilege to the extent permitted under Thai law and professional conduct rules. We maintain strict confidentiality of all client information.
6.2 Exceptions to Confidentiality
We may disclose confidential information only in the following circumstances:
- With your express consent
- When required by law, court order, or legal process
- To prevent serious harm to persons or property
- To defend ourselves against allegations of professional misconduct
7. Intellectual Property
7.1 Our Content
All content on our website, including text, graphics, logos, and materials, is the property of thamrena or our licensors and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.
7.2 Client Documents
Documents we prepare for you as part of our services become your property upon full payment of fees. However, our working papers, research materials, and internal analyses remain our property.
7.3 License to Use
We grant you a limited, non-exclusive license to use documents we prepare for you for their intended legal purposes. You may not reproduce or distribute these materials for commercial purposes without our permission.
8. Disclaimers
8.1 No Guaranteed Outcomes
We cannot promise specific results or outcomes. Legal matters involve uncertainties, and we provide advice based on our professional judgment and the information available. Actual results may differ from our assessments.
8.2 Website Information
Information on our website is provided for general informational purposes only and does not constitute legal advice. It should not be relied upon as a substitute for consultation with a qualified legal professional.
8.3 Third-Party Links

9. Limitation of Liability
9.1 Liability Cap
To the extent permitted by Thai law, our total liability for any claim arising from our services shall not exceed the fees paid by you for the specific services giving rise to the claim.
9.2 Excluded Damages
We shall not be liable for any indirect, consequential, special, or punitive damages, including loss of profits, business opportunities, or goodwill, even if advised of the possibility of such damages.
9.3 Force Majeure
We shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, government actions, labor disputes, or technical failures.
10. Indemnification
You agree to indemnify and hold harmless thamrena, its practitioners, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these terms, your violation of any law, or your use of our services in a manner inconsistent with our advice.
11. Termination
11.1 Client Termination
You may terminate our services at any time by providing written notice. You remain responsible for payment of fees for services rendered and costs incurred up to the termination date.
11.2 Our Termination Rights
We may terminate our services if you fail to pay fees when due, fail to cooperate in the provision of services, or if continuing the engagement would violate professional conduct rules. We will provide reasonable notice when possible.
11.3 Effect of Termination
Upon termination, we will provide you with your documents and file materials (subject to payment of outstanding fees). Our obligations of confidentiality continue after termination. We will retain copies of documents as required by professional regulations.
12. Dispute Resolution
12.1 Governing Law
These Terms & Conditions are governed by the laws of Thailand. Any disputes arising from these terms or our services shall be subject to the jurisdiction of the courts of Thailand.
12.2 Informal Resolution
Before initiating formal proceedings, we encourage clients to discuss concerns directly with us. Many issues can be resolved through open communication.
12.3 Mediation
If informal resolution fails, we agree to attempt mediation before pursuing litigation. Both parties will share mediation costs equally unless otherwise agreed.
13. General Provisions
13.1 Entire Agreement
These Terms & Conditions, together with any engagement letter or service agreement, constitute the entire agreement between you and thamrena regarding the use of our services and supersede all prior communications and proposals.
13.2 Severability
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
13.3 Waiver
Our failure to enforce any provision of these terms does not constitute a waiver of that provision or our right to enforce it in the future.
13.4 Assignment
You may not assign or transfer your rights or obligations under these terms without our written consent. We may assign our rights and obligations to a successor law practice with notice to you.
14. Changes to Terms
We may modify these Terms & Conditions from time to time. Changes become effective when posted on our website. Your continued use of our services after changes constitutes acceptance of the modified terms. For ongoing engagements, significant changes will be communicated to you directly.
